This document defines the legally binding terms of service governing all technical diagnostics, system audits, and digital infrastructure modifications performed by Transitional Elements (hereinafter referred to as “the Engineering Division,” “we,” “us,” or “our”) for the Client (hereinafter referred to as “the Operator,” “you,” or “your”).
By accessing our public domain (https://transitionalelements.com/), submitting system parameters via our diagnostic calculators, or authorizing a strategic retainer, you agree to comply with and be bound by these Terms of Service. If you do not accept these physical rules of engagement, you are not authorized to utilize our workspaces or order our consulting services.
Transitional Elements provides professional strategic business operations and technical web infrastructure consulting services. Our primary delivery model is a structured, flat-fee 90-Day Strategic Stabilization Audit & Hardening Sprint.
To preserve operational focus and prevent processing bottlenecks, the Engineering Division operates on a strict flat-fee transactional model.
Because our technical assessments, server audits, and custom automation scripts require immediate and intensive allocations of dedicated engineering hours and software licenses:
All Sales are Final: Once a payment is authorized and clears our terminals, the $2,500.00 USD flat-fee retainer is 100% non-refundable.
No Pro-Rata Offsets: If you choose to terminate the 90-day sprint early, or fail to provide the required administrative API tokens or access credentials detailed in Section 05, you forfeit the remaining portion of your retainer. No pro-rata refunds will be issued.
To safely complete a stabilization sprint, you must provide active, verified data signals and staging access:
Credential Delivery: You agree to provide temporary, secure administrative access or functional API tokens for your active hosting environments (such as WordPress, Shopify, etc.) and primary analytics streams (such as Google Tag Manager, Google Analytics 4) within 7 business days of payment authorization.
Data Integrity: You warrant that all company metrics, close rates, and average contract values inputted into our diagnostic calculators are structurally accurate to the best of your knowledge.
Unless otherwise indicated, the public domain (including the visual layout of our interactive calculators, CSS, HTML, scripts, logos, and written content) is the proprietary property of Transitional Elements and is protected by copyright and trademark laws of the United States. You are granted a limited, non-exclusive license to access our public calculators for individual business diagnostic purposes. Any unauthorized framing, scraping, database replication, or commercial reproduction of our diagnostic assets is strictly prohibited.
No Aesthetic Guarantees: We deconstruct and rebuild functional web mechanics. We do not warrant that our layouts will meet your personal, subjective aesthetic preferences.
No Revenue Guarantees: While we optimize your technical conversion gate to prevent revenue bleed, we do not warrant that your business will experience immediate, guaranteed sales volume growth. Sales are dependent on independent market factors, product-market fit, and ad spend variables.
Operational Indemnification: In no event shall Transitional Elements or its Chief Engineer be liable for any direct, indirect, incidental, or consequential damages (including, but not limited to, lost profits, hosting downtime, or database signal drop-offs) arising out of the performance of our infrastructure modifications.
Liability Cap: Notwithstanding anything to the contrary contained herein, our total collective liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the lesser of the amount paid, if any, by you to us (specifically capped at $2,500.00 USD).
These Terms of Service shall be governed by, interpreted, and enforced in accordance with the laws of the State of California, without regard to conflict of law principles. Any legal action, dispute, or litigation arising out of these terms shall be settled exclusively in the state or federal courts located in Riverside County, California (aligned to our coordinate vector: 33.7471° N // 116.9720° W).
